1. Agreement to These Terms

By accessing or using the website located at braxiahealth.com, including any pages, content, forms, and features (the “site”), you agree to be bound by these terms & conditions (the “terms”) and all applicable laws. If you do not agree, you must not use the site.

These terms are in addition to any other written agreements you may have with braxia health regarding the provision of health care or other services.

2. About Braxia Health and the Site

Braxia health (“Braxia”, “we”, “us”, “our”) operates outpatient clinical and research treatment facilities that provide psychedelic therapy and other mental health treatments. The site is provided for general informational and educational purposes only and to facilitate contact and referrals. It does not create a patient–provider relationship between you and Braxia.

Nothing on the site is intended to be, or should be taken as, medical, psychological, psychiatric, or other professional advice, diagnosis, or treatment. Always seek the advice of a qualified health‑care professional with any questions you may have regarding a medical or mental health condition.

3. Not for Emergencies

The site is not an emergency or crisis service. If you are in crisis, at risk of harm, or experiencing a medical emergency, call 911 or your local emergency number, go to the nearest emergency department, or contact your local crisis service immediately. Do not rely on the site, email, or any messaging features for urgent or emergency communication.

4. No Personal Health Information by Email or Chat

You may use the site to request general information or to ask us to contact you. However, email and any chat or messaging features associated with the site are not secure means of communication.

You should not send personal health information (for example, diagnoses, detailed symptoms, treatment history, or medication lists) by email or chat. If you do provide personal health information through these channels, we may redirect the conversation to more secure communication methods. Any personal health information we receive will be handled in a Phipa‑directed manner, as described in our privacy policy.

5. User Responsibilities

When using the site, you agree that you will:

  • Use the site only for lawful purposes and in accordance with these terms.
  • Provide accurate, current and complete information when submitting any forms.
  • Not attempt to circumvent security features, access any part of the site without authorization, or interfere with the normal operation of the site.
  • Not upload, transmit or otherwise make available any content that is unlawful, harmful, abusive, defamatory, harassing, invasive of privacy, or otherwise objectionable.

You are responsible for ensuring that your use of the site complies with all applicable laws where you live or access the site.

6. Intellectual Property

The site, including its design, text, graphics, logos, images, videos, and other content (collectively, the “content”), is owned by or licensed to braxia and is protected by copyright, trademark and other laws.

You may view and print a single copy of the Content for your personal, non‑commercial use, provided you do not remove any proprietary notices. You must not:

  • Reproduce, distribute, modify, publicly display, publicly perform, or create derivative works of any content without our prior written consent.
  • Use any trademarks, trade names or logos displayed on the site without our prior written consent or that of the respective owner.

7. Third‑party Links and Resources

The site may contain links to third‑party websites or resources that are not owned or controlled by Braxia. These links are provided for convenience only.

We do not endorse and are not responsible for the content, privacy practices, terms of use, or services of any third‑party websites. You access and use third‑party websites at your own risk and should review their terms and privacy policies.

8. Privacy and Cookies

Your use of the site is also governed by our privacy policy, which explains how we collect, use, disclose, and protect personal information, including personal health information, and how we use cookies or similar technologies.

By using the site, you consent to our collection, use and disclosure of information as described in the privacy policy.

9. No Warranty

The site and all content are provided on an “as is” and “as available” basis, without any representations, warranties or conditions of any kind, whether express, implied, or statutory, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, non‑infringement, or that the site will be uninterrupted, error‑free, secure or free of viruses or other harmful components.

Information on the site may not always be up to date or applicable to your particular circumstances. Braxia does not guarantee the completeness, accuracy, reliability or availability of the site or the content.

10. Limitation of Liability

To the fullest extent permitted by law, Braxia, its affiliates, and their respective directors, officers, employees, contractors and agents will not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of data, loss of profits, or business interruption, arising out of or in connection with:

  • Your use of, or inability to use, the site or any content.
  • Any errors or omissions in the site or content.
  • Any use of or reliance on any information provided through the site.
  • Any unauthorized access to or use of our servers or any personal information stored on them.

This limitation applies whether the claim is based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

If, despite the above limitation, Braxia is found to be liable to you, our total liability in respect of any claim related to the site will be limited, to the extent permitted by law, to one hundred Canadian dollars (cad 100).

11. Indemnity

You agree to defend, indemnify and hold harmless Braxia, its affiliates, and their respective directors, officers, employees, contractors and agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Site or Content.
  • Your breach of these Terms.
  • Your violation of any applicable law or the rights of any third party.

12. Changes to the Site and to These Terms

We may change, suspend, or discontinue any aspect of the site at any time without notice. We may also update these terms from time to time.

When we make changes to these terms, we will revise the “last updated” date at the top. Your continued use of the site after any changes have been posted means you accept the updated terms. If you do not agree with the changes, you must stop using the site.

13. Governing Law and Jurisdiction

These terms, your use of the site, and any related disputes will be governed by the laws of the province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.

You agree that the courts of the province of Ontario, sitting in Toronto, will have exclusive jurisdiction over any disputes arising out of or relating to these terms or your use of the site.

14. Severability

If any provision of these terms is found to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

15. Termination

We may, in our sole discretion and without notice, terminate or suspend your access to all or part of the site for any reason, including if we believe you have violated these terms. Upon termination, your right to use the site will immediately cease. The provisions of these terms that by their nature should survive termination (including limitations of liability, indemnity and governing law) will survive.
